How does the negotiation and counter-offer process work in Ontario?
When an offer comes in, you can accept, reject, or counter on price, dates, deposit, or conditions. Negotiations continue until both sides sign the same terms or walk away.

The negotiation and counter-offer process in Ontario real estate is a structured back-and-forth where buyer and seller exchange offers until they reach agreement or walk away — and having an experienced negotiator on your side can mean the difference of tens of thousands of dollars. Here is how the process works:

  •  Initial offer — the buyer submits an Agreement of Purchase and Sale with their proposed price, conditions, deposit, and closing date. The offer has an irrevocability period during which the seller must respond.
  • Any other offers – At this point your agent should reach out to all potential buyers who have seen your property to see if anyone else may be interested in putting in an offer, effectively creating a multiple offer situation. If no other interested parties…
  • Seller's response — the seller can accept, reject, or counter. A counter-offer is a new offer on the same form with the seller's proposed changes. Once a counter-offer is made, the original offer is no longer in the seller's possession — the buyer can choose to accept, reject, or walk away. At this point the seller is bound by this counter offer and can not accept any new offers that may arise during this counter offer time.
  • Counter-offer timing — each counter-offer has its own irrevocability period. These timelines matter! Most Ontario transactions resolve within 2 to 3 rounds. Irrevocability times matter — if the window is too wide, the seller risks missing other buyers while waiting for a response.
  • What gets negotiated — price is the most obvious element, but deposit amount, conditions, closing date, inclusions and exclusions, and repair credits are all negotiable.
